These Terms and Conditions (“Terms”) govern your access to and use of the Jamielabs website, software, and related services (“Services”) provided by Utogi Limited trading as Jamielabs (“Jamielabs,” “we,” “us,” or “our”).
By registering for, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Services. By using Jamielabs, you represent and warrant that you meet these requirements.
2. Services
Jamielabs provides a software-as-a-service (SaaS) platform that allows customers to install and use widgets on their websites to improve engagement, lead generation, and conversions.
We may update, modify, or discontinue any part of the Services at our sole discretion, provided such changes do not materially reduce core functionality without reasonable notice.
3. Accounts
You must create an account to access certain features.
You agree to provide accurate, current, and complete information.
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
You must notify us immediately of any unauthorised use of your account.
4. Subscription and Payment
Services are offered on a subscription basis. Fees, billing cycles, and payment methods are set out on our website or agreed in writing.
All fees are in New Zealand Dollars (NZD) unless otherwise specified, and are exclusive of GST (if applicable).
Subscriptions automatically renew unless cancelled before the end of the current billing period.
You authorise us to charge your nominated payment method for subscription fees and any applicable taxes.
Failure to pay may result in suspension or termination of your account.
5. Use of Services
You agree not to:
Use the Services for unlawful, harmful, or fraudulent purposes.
Attempt to reverse-engineer, decompile, or otherwise access the source code of the Services.
Interfere with or disrupt the integrity, performance, or security of the Services.
Upload or transmit harmful code, spam, or offensive content.
Use the Services in a manner that infringes the rights of third parties.
You are solely responsible for the content and data you or your end-users submit via the Services.
6. End-User Data
When you install Jamielabs widgets on your website, you may collect personal information from your visitors.
You are responsible for ensuring you have lawful grounds to collect such information and for complying with applicable privacy laws (including the New Zealand Privacy Act 2020).
Jamielabs acts as a data processor in relation to end-user data, processing it only on your instructions.
7. Intellectual Property
All intellectual property rights in the Services, including software, designs, trademarks, and documentation, remain the exclusive property of Jamielabs or its licensors.
You are granted a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms.
You retain ownership of any content and data you provide to the Services.
8. Termination
We may suspend or terminate your account immediately if you:
Breach these Terms.
Fail to pay fees when due.
Use the Services in a manner that may cause harm or liability to Jamielabs or others.
You may cancel your subscription at any time via your account settings. Termination does not relieve you of any payment obligations accrued before termination.
9. Disclaimers
The Services are provided on an “as is” and “as available” basis.
We do not guarantee that the Services will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including fitness for a particular purpose.
10. Limitation of Liability
To the maximum extent permitted by law:
Jamielabs is not liable for any indirect, incidental, special, or consequential damages (including lost profits, lost business, or data loss).
Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the fees you paid to us in the 3 months preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be excluded under New Zealand law.
11. Indemnity
You agree to indemnify and hold harmless Jamielabs, its directors, employees, and contractors from any claims, damages, losses, or expenses arising out of:
Your use of the Services.
Your breach of these Terms.
Any content or data submitted through your account or widgets.
12. Changes to Terms
We may amend these Terms from time to time by posting the updated version on our website. The updated Terms will apply from the date of publication. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of the New Zealand courts in relation to any dispute arising under these Terms.
